Welcome to SoGrand. This website and the information, resources, content and services it makes available (the “Site”), is provided by So Grand Limited (“SoGrand"), a company registered in England and Wales.

These Terms of Use govern your use of SoGrand (whether You are a member, a subscriber or a visitor). By using SoGrand, You are agreeing to be legally bound by these Terms of Use and our Privacy Policy.

If You do not agree to these Terms of Use and our Privacy Policy please do not enter or use the Site. 

1. Amendments

1.1 SoGrand reserves the right to revise these Terms of Use and our Privacy Policy from time-to-time without notice to You. Please check this page regularly to see whether changes have been made. SoGrand may at its discretion provide You with notice of any such changes via the Site or using any e-mail address You provide as part of the registration process.

1.2 SoGrand may also discontinue or modify the Site or certain parts of the Site with or without notice to You and without liability to You or any third party.

2. Registration

2.1 Many parts of the Site may be viewed by all users. However, You will need to register as a member to access the restricted areas and to be able to contribute content to the Site. The information SoGrand obtains via the registration process (or otherwise through other parts of the Site) is subject to our Privacy Policy. If You do not agree to the terms of the Privacy Policy then please do not complete the registration process.

2.2 When registering as a member You agree to provide accurate, current and complete information about yourself as required by the registration form, and to ensure that all such information is kept accurate, complete and current. SoGrand reserves the right to terminate your membership and access to the Site if You are in breach of this clause.

2.3 You must ensure that your username and password is kept confidential as You will be fully responsible for all activities that occur under your username and password. You must notify SoGrand immediately of any unauthorised use of your username and password or any event that may result in a breach of security as soon as You become aware of it.

4. Use of SoGrand

4.1 SoGrand does not read, control or screen every item of content provided by users and as such SoGrand does not guarantee the accuracy, integrity or quality of such content. The views expressed by users of the Site in Comments, Blogs and the Forums are not those of SoGrand.

4.2 You are responsible for all content that You submit, post or otherwise make available via the Site. By doing so You represent and warrant that any content You post is not confidential and You have the necessary permission to submit, post or otherwise make available such content. In addition You agree not to:

• Use the Site for any reason which is unlawful, defamatory, harassing, harmful, abusive, threatening, vulgar, obscene, offensive, profane, racially or sexually or otherwise discriminatory, or invasive of a third party’s privacy or intellectual property;


• Collect email addresses or other contact information of other users by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;


• Post links to alternative community sites without our written permission;


• Register as a member more than once, register for a member on behalf of an individual other than yourself, or register as a member on behalf of any group or entity;


• Impersonate any person or entity whether actual or fictitious, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;


• Use the Site in any manner that could damage, disable, overburden or disrupt the operation of the Site nor must You do anything that could disrupt the use and enjoyment of the Site by any other user;


• Submit content that is spam and/or content that contains unethical or unwanted commercial content designed to drive traffic to a third party site, or to further unlawful acts including but not limited to phishing;


• Upload, post, transmit, share, store or otherwise make available content which in our opinion is objectionable or which may expose SoGrand or its users to any harm or liability of any type;


• Upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;


• Use the Site to engage in any commercial activity without our written permission.

4.3 SoGrand reserves the right to edit or remove any content, information or material submitted to the Site, with or without notice, in its sole discretion, for any reason or no reason, including any content, information or material that breaches these Terms of Use.

5. Intellectual property rights

5.1 Unless otherwise stated all content on the Site, including, text, graphics, photographs, music, sound, video, information, software and other material are the proprietary property of SoGrand.

5.2 You may view, print, download or temporarily store extracts from the Site for your personal use without alteration, addition or deletion. You are not permitted to reproduce, duplicate, copy, republish or commercially exploit content from the Site without our written permission.

5.3 When You use the Site or any other mechanism to submit, post or otherwise make available any material You grant to SoGrand a royalty-free, non-exclusive, worldwide, perpetual, fully sub-licensable, irrevocable right and license to use, reproduce, modify, adapt, publish, communicate to the public, translate, create derivative works from or display or distribute worldwide for any purpose via the Site, or in any other form, media or technology without any duty at all to account to You. In such cases SoGrand may include your username with any such material. Under no circumstances will your name or other personal information be included with any such material.

6. Third Party Sites, Goods and Services

6.1 The Site may contain links to third party websites. These are provided for convenience only and SoGrand does not endorse the content of such sites, nor does SoGrand make any representations as to the accuracy, integrity, legality or quality of such sites. SoGrand is not responsible for the availability of any third party sites, nor will SoGrand be liable in any way for any loss or damage which You may suffer by using those sites. You hereby waive any claim You might have against SoGrand with respect to any such sites.

7. Disclaimer of Warranties

7.1 To the fullest extent permissible by law SoGrand assumes no responsibility or liability for any injury, loss or damage incurred as a result of any use or reliance upon the information contained within or downloaded from the Site. No information or advice, whether oral or written, obtained by You from or through the Site will create any warranty not expressly stated in these Terms of Use.

7.2 SoGrand does not warrant that the information published on the Site is accurate, complete or free from error. SoGrand is not responsible for any errors or omissions or for the results obtained from the use of such information. The information published on the Site is provided for the purpose of general information and is not intended to be nor should it be used as a substitute for appropriate professional advice. Your use of the Site is at your sole risk.

7.3 SoGrand makes no warranty that the Site or the information it provides will meet your requirements, or that the Site will be uninterrupted, secure or error free, that defects will be corrected or that the Site or the server that makes it available is free of viruses or bugs nor does SoGrand make any warranty as to the results that may be obtained from using the Site.

7.4 Any information, material and/or data that You download or otherwise obtain from the Site is at your own discretion and risk and You will be solely responsible for any servicing or replacing of equipment or data that results from the download of such information, material and/or data.

8. Limitation of Liability

8.1 SoGrand shall have no liability arising from your use of or reliance on the information on this Site and so far as permitted by law shall not be liable for any indirect, incidental, special or consequential losses or damages or loss of goodwill, data, revenue or profit or failure to achieve any benefit expected from use of this Site whether such losses arise in the normal course of events or whether SoGrand has been advised of the possibility of such damages.

8.2 SoGrand shall not be liable for any such losses whether arising in contract, tort (including negligence) or otherwise arising out of or in connection with this Site or any other websites.

8.3 Nothing in these Terms of Use shall serve to exclude or limit SoGrand's liability for death or personal injury arising from negligence.

9. Indemnity

9.1 You agree to indemnify and hold SoGrand, its parents, subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, claim, demand, damages, costs and expenses, including reasonable legal fees, arising out of your use of the Site, any breach of these Terms of Use by You, or the infringement by You of any law or the rights of any third party.

10. Suspension and Termination

10.1 SoGrand may, at any time, with or without notice, suspend or terminate your membership, delete your profile and any content or information that You have submitted to the Site and/or deny You access to the Site if SoGrand determines, in its sole discretion, that You have breached any part of these Terms of Use or SoGrand considers, in its sole discretion, that your use of the Site is inappropriate or otherwise unacceptable, or your account has been inactive for some time. SoGrand also reserves the right to suspend or terminate your membership for any other reason.

10.2 The suspension or termination of your membership under this clause will be without prejudice to any rights that SoGrand may have against You in respect of your breach of these Terms of Use.

11. General

11.1 These Terms of Use and the Privacy Policy constitute the entire agreement between us in respect of your use our Site and related services and supersede any and all prior agreements and understandings between us.

11.2 The failure or delay of SoGrand to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance.

11.3 In the event that any provision of these Terms of Use is found to be illegal, invalid or otherwise unenforceable, then that provision shall be deleted and the remaining provisions shall remain in full force and effect.

11.4 SoGrand may assign its rights and obligations under these Terms of Use and upon such assignment SoGrand shall be relieved of any further obligation under these Terms of Use.

11.5 These Terms of Use will be and governed by and construed in accordance with the laws of England and any dispute shall be subject to the exclusive jurisdiction of the English Courts.
